LAW 703: Corporate and Securities Transactions

An examination of sophisticated business transactions. The course will focus on the interrelationship of corporation and securities laws with corporate finance and business strategy. It also will deal with the ways in which corporate and securities lawyers handle issues in other legal disciplines, such as commercial and tax law, in the transactional context. Case studies of actual transactions will occupy a significant portion of the class’s attention. A consideration of negotiation techniques and legal and business ethics will be included. Pre-requisite: Corporations or Corporations and Business Entities; Pre- or co-requisite: one of the Securities Regulation courses. [2 credit hours]
